End-User and Reseller License Agreement (EULA) for Sketch Selfie Software

This End-User and Reseller License Agreement ("EULA") is a legal agreement between you (either an individual or a single entity, "User" or "Reseller") and SMART PHOTO BOOTH ("Licensor") for the Sketch Selfie software and all its associated documentation ("Software").

By downloading, installing, copying, or otherwise using the Software, you agree to be bound by the terms of this EULA. If you don't agree to the terms of this EULA, don't use the Software.

1. Grant of License
The Licensor grants you a limited, non-exclusive, non-transferable license to use the Software. This license is for end-users who employ the Software for their personal or internal business use, and for resellers who intend to distribute the Software in accordance with a separate, written reseller agreement with the Licensor.

2. Intellectual Property and Confidentiality
The Software is protected by copyright laws and international copyright treaties. Ownership and intellectual property rights in and to the Software and all associated content (images, animations, text, etc.) are owned by the Licensor, its affiliates, or partners.
Confidential Information refers to all non-public information owned by SMART PHOTO BOOTH, disclosed to or accessed by the User or Reseller, including the Software's source code, algorithms, designs, documentation, functionalities, and trade secrets.
You may not copy, modify, distribute, sell, lease, reverse engineer, or attempt to extract the source code of any part of our Software. Additionally, you may not remove or alter any copyright or other proprietary notices on the Software.

3. Confidentiality Obligations and Restrictions on Use
The User and Reseller agree to:
– Keep all Confidential Information in strict confidence and use it solely for permitted purposes.
– Not disclose, publish, copy, or transmit Confidential Information without prior written consent.
– Take reasonable steps to protect Confidential Information from unauthorized access or disclosure.
– Restrict access only to authorized personnel under confidentiality agreements.
You may not modify, adapt, or create derivative works based on the Software. Unauthorized distribution or sublicensing is prohibited.

4. Termination
The Licensor may terminate this EULA if you fail to comply with its terms. You must destroy all copies of the Software upon termination.

5. Breach of Confidentiality
Unauthorized disclosure of Confidential Information may result in irreparable harm. SMART PHOTO BOOTH may seek injunctive or equitable relief in such cases.

6. Disclaimer of Warranties
The Software is provided "as is" without warranty of any kind, either express or implied.

7. Limitation of Liability
The Licensor is not liable for indirect or consequential damages arising from use or inability to use the Software.

8. Governing Law
This EULA is governed by the laws of the State of California, USA.

9. Duration of Confidentiality Obligations
Obligations remain in effect as long as the information is confidential or indefinitely for source code and trade secrets.
